Not in Love

CANโ€™T HAVE BOTH

ELI

Eli was so fucking giddy, even his own damn dog found him irritating.

โ€œI know, Iย know. Not ideal,โ€ he told Tiny during their morning walk, when he kept glancing back with a forlorn expression, as if wondering where his new favorite human had gone. โ€œSheโ€™ll come over

again soon.โ€

He was certainly going to try to lure her back tonight. And maybe it wasnโ€™t going to be too hardโ€”because sheโ€™d as good as acknowledged that sheย wantedย to be with him. He knew it, and Rue knew it, too. Together, they were different. Unlike anything beforeโ€”or after, he suspected. And last night sheโ€™d finally given them a fighting chance.

โ€œJust trust me,โ€ he told Tiny when the lovelorn puppy eyes wouldnโ€™t stop. โ€œAnd stop pining. Itโ€™s undignified.โ€

His morning was full of off-site meetings, and he glided through all of them. โ€œEli! Why do you look so muchย betterย than usual?โ€ Anton asked him when he strode through Harknessโ€™s lobby. Eli considered firing him on the spot at the implied insult, but the paperwork would have delayed his reunion with his one true love: texting Rue.

Which was delayed anyway, when Hark impatiently gestured him inside from the glass window of a conference room. โ€œDo you ever pick up your damn phone?โ€ he asked before Eli had even closed the door.

โ€œNot during meetings, no.โ€

โ€œWhat about when the meetings end?โ€

โ€œDepends on how annoying the caller is. Are you conducting a survey pertaining to habits around electronic devices, or is there something you need to tell me?โ€

โ€œItโ€™s about Kline,โ€ Minami said. Eli glanced at her and Sul for the first time. Noticed their serious expressions.

The tension in the room finally cut through his good mood. โ€œWhat happened?โ€

โ€œThe documents your girlfriend gave us,โ€ Hark said. A minute earlier, the words would have made him smile. Harkโ€™s tone, though, gave him pause. โ€œThe lawyers went through them.โ€

โ€œAlready?โ€

โ€œNot that time consuming. She sent precisely what we needed.โ€ Yup, that was his girl. โ€œAnd?โ€

Harkโ€™s mouth twisted into a smile. โ€œFlorenceโ€™s fucked, Eli. Sheโ€™s underwater on her ratios, the audited financials might as well have been written in crayon on a diner menu, and sheโ€™s got fifteen material contingencies under the couch cushions. But you know whatโ€™s fucking brilliant?โ€

Eli shook his head.

โ€œThe insolvency clause. If Kline is unable to meet its financial obligations or pay off its debts, the lender will be able to convert the debt into equityโ€”or claim ownership.โ€

โ€œWe knew about that already.โ€

โ€œBut we didnโ€™t know how bad off Kline was. And that itโ€™s never going to be solvent by the end of the second quarter.โ€

โ€œThatโ€™s June thirtieth,โ€ Eli said unnecessarily. Everyone at the table already knew.

โ€œLess than a week, Eli.โ€ Hark grinned. โ€œWe got it. We really got it.โ€ โ€œThereโ€™s more,โ€ Minami interrupted, sounding incongruously cautious.

Eliโ€™s scalp tingled in alarm. โ€œWhat?โ€

โ€œSo.โ€ She nibbled at the inside of her cheek. โ€œFlorence knows sheโ€™s in deep shit. She might even know that Rue gave us the booksโ€”I donโ€™t know. But sheโ€™s aware that her only choice is to pay back the loan before the quarter ends.โ€

โ€œDoesnโ€™t matter,โ€ Hark interrupted. โ€œThereโ€™s no way she can gather enough fundsโ€”โ€

โ€œThere isnโ€™t,โ€ Minami agreed, still looking at Eli. โ€œThatโ€™s true. But that wonโ€™t stop her from trying, and since sheโ€™s exhausted most of her avenues, the only way for her to generate cash is by selling company assets.โ€

Eli pulled out a chair and satโ€”next to Hark, across from her. โ€œShe canโ€™t sell the biofuel tech. Itโ€™s the collateral for the loan. So if thatโ€™s what youโ€™re worried aboutโ€”โ€

โ€œThatโ€™s not what worries Minami,โ€ Sul said, and the tingle sharpened. The energy in the room was just off. Beside him, Hark was buzzing with excitement. The others looked, at the very least, preoccupied. โ€œThere are other assets Florence is shopping around.โ€

โ€œSuch as?โ€

โ€œTech from side projects. Such as Rueโ€™s microbial-coating patent.โ€

โ€œShe canโ€™t. I already asked Rue about thatโ€”she has a written agreement with Florence that she will retain ownership of whatever tech . . .โ€ he trailed off. Minamiโ€™s and Sulโ€™s looks were pointed in a way he couldnโ€™t misconstrue. โ€œNo. Thereโ€™s no way.โ€

Minami just nodded. โ€œShe has aย contract.โ€

โ€œThat was never ratified by the board.โ€

Eli pinched the bridge of his nose. โ€œFuck.โ€ He thought about Rue last night, the last time theyโ€™d had sex. Her slow, graceful movement against him. Her breathless laugh as he listed everything he loved about her in toe- curling detail. The serene, trusting way sheโ€™d fallen asleep in his arms.

He felt queasy.

โ€œThe contract isnโ€™t worth the paper itโ€™s printed on,โ€ Sul said. โ€œFlorence can sell the patent, and she will. She has a buyer.โ€

The room fell into a tense silence. Eli leaned forward. โ€œIs Rue aware?โ€ โ€œI doubt it. She clearly did not have the foresight to consult a lawyer or

wonder about Florenceโ€™s character. Not very smart,โ€ Hark drawled. Eliโ€™s head swung around, ready to fuck off ten years of friendship, but when their eyes met, Hark looked self-effacing. โ€œOnce again, she reminds me of these three assholes I know.โ€

โ€œHow doย weย know about the buyer?โ€

โ€œSheer luck, thatโ€™s how,โ€ Hark said. โ€œThe buyer is NovaTech. And Hector Scotsvilleโ€™s brother is CTO there. I met with Hector this morning to

go over some agri-tech shit, and he told me about this fun coincidence, since weโ€™re connected with Kline.โ€

โ€œFuck.โ€

โ€œFlorence has been shopping around Klineโ€™s techs and compounds for the past few weeks. According to Hector, the microbial coating was off the table untilย veryย recently.โ€

โ€œFlorence may know that Rue gave us the books,โ€ Minami said. โ€œCould it be a punishment of sorts?โ€

โ€œItโ€™s possible.โ€ Eli ran a hand through his hair. โ€œAnd they did have a . . . confrontation. It might have convinced Florence to go ahead and sell. But who the fuck buys a patent thatโ€™s not even registered yet? Why does NovaTech even want it?โ€

โ€œTheyโ€™re a packaging solutions company,โ€ Sul said. โ€œGetting rid of the competition, then.โ€

Hark patted him on the back. โ€œGold star.โ€

Eli shook his head. This day. Thisย fuckingย day. It had started so well. Humbling, how bad it had become all of a sudden. โ€œNovaTech is going to buy Rueโ€™s work ofย years, and then theyโ€™ll trash it so they can keep on selling their packaging. All because Florence lied to Rue with a contract that was never legally binding.โ€

โ€œGood recap. Infinitely shitty of Florence, but legal. Seems to be her sweet spot,โ€ Hark said. โ€œSheโ€™s not going to raise enough funds to buy back the loan, not even if she finds a buyer for every single piece of tech at Klineโ€™s disposal. But the deadlineโ€™s coming up, and itโ€™ll be fun to lie low and watch her put up the saddest lemonade standโ€”โ€

โ€œWeโ€™re not going to do that,โ€ Eli said. Hark blinked. โ€œNot going to . . . ?โ€

โ€œWeโ€™re not going to lie low. Weโ€™re not going to let her sell Rueโ€™s patent. Once itโ€™s sold, itโ€™s gone. Even if we later get control of Kline, we wonโ€™t be able to reverse the deal.โ€

Sul stared at him thoughtfully. Minami and Hark, though, just exuded a combination of puzzled and pitying. โ€œI donโ€™t think itโ€™s within our power to stop her,โ€ she said gently.

Eli stood to pace. โ€œWhat if we lay out our cards? Tell Florence we have the books. We know sheโ€™s in breach. We could try to negotiate with herโ€” offer her more time if she doesnโ€™t sell Rueโ€™s patent, for example.โ€

โ€œHang on a minute.โ€ Hark bolted to his feet, too. โ€œAre you having a massive stroke you forgot to tell us about?โ€

Eli just stared at him.

โ€œBecause it sounds like youโ€™re saying that we should give up our strategic advantage, an advantage that could put Kline in our hands in a matter ofย weeks, to stop the sale of Rue Siebertโ€™s patent. Rueโ€™s a very nice lady, no doubt, but also someone weโ€™ve known for about five fucking minutes, and Iโ€™m glad that sleeping with her is working out well for youโ€”โ€

โ€œHark,โ€ Minami admonished.

โ€œโ€”but Iโ€™m not sure that just becauseย youย are gone for her, sheโ€™s someoneย weย should consider when making decisions that will affect plans that were years in the making.โ€

โ€œWeโ€™re not doing it because Iโ€™mย goneย for her,โ€ Eli gritted out. โ€œWeโ€™re doing it because itโ€™sย right.โ€

โ€œHow is this our goddamn business?โ€ Hark took a step closer. Eli did the same. โ€œWe owe Rue Siebert nothing.ย Youย owe Rue Siebert nothing. You canโ€™t tell me that youโ€™re willing to jeopardize something that sent us to hell and back, forย her. Does she even give a shit about you?โ€

โ€œItโ€™s not the damn point. What Florence is about to do to her is exactly what she did to us a decade ago.โ€

โ€œAnd so what? For fuckโ€™sโ€”if you want Rue so bad, marry her. Make her have your babies. Buy her a house with thirty rooms and a private lab where she can fiddle around and develop twenty more techs. But you canโ€™t buyย herย love withย ourย dreams.โ€ Hark had been loud, but his voice dropped back to a menacing tone. โ€œYou canโ€™t have both, Eli. You either get Kline, or Rueโ€™s patent. Which one is it?โ€
